Welcome to the Intuify Client Portal (the "Platform"), a market research technology platform provided by Intuify, Inc. ("we," "us," or "our"). By accessing or using our Platform, you agree to these Terms of Use ("Terms") and our Privacy Policy. Please read them carefully before using our services.

 

1. Acceptance of Terms

By accessing or using the Platform, you agree to comply with and be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. If there is any conflict between these Terms and a Master Services Agreement or other written contract you have with us, the Master Services Agreement or contract will prevail.

 

2. Eligibility

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.

 

3. Use of the Platform

a. Permitted Use

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Platform for lawful purposes and in accordance with these Terms.

You agree not to:

• Use the Platform for any unlawful or unauthorized purpose.

• Submit false or misleading information.

• Attempt to reverse engineer, decompile, or disassemble the Platform.

• Interfere with or disrupt the functionality of the Platform.

• Violate any applicable laws, rules, or regulations in your use of the Platform.

 

4. User Accounts

a. Account Registration

You may be required to create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during the registration process.

b. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect unauthorized access to your account.

 

5. Intellectual Property

a. Ownership

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, and software, are the exclusive property of Intuify, Inc. or its licensors. You may not reproduce, distribute, or create derivative works based on any content without prior written permission.

b. Protection Against IP Theft

You agree not to use, share, or exploit any proprietary information, trade secrets, or intellectual property (including ideas, processes, or methodologies) accessed through the Platform for your own benefit or the benefit of third parties. Any unauthorized use of the Platform’s intellectual property may result in immediate suspension of access and legal action.

 

6. Privacy Policy

We adhere to privacy laws including GDPR and other relevant regulations. The following personal data may be collected:

10. Indemnification

You agree to indemnify and hold harmless Intuify, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the Platform, violation of these Terms, or infringement of any intellectual property rights.

 

11. Modifications to Terms

We reserve the right to modify or update these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform constitutes acceptance of the updated Terms.

 

12. Termination

We reserve the right to suspend or terminate your access to the Platform at our sole discretion, with or without notice, for any reason, including your violation of these Terms.

13. Governing Law
